Strict No-Refund & Cancellation Policy

This Strict No-Refund & Cancellation Policy governs all purchases, license acquisitions, subscriptions, and renewals of VaultDBM software products and services. It forms an integral part of the End User License Agreement. By placing an order, settling an invoice, or obtaining a cryptographic License Key, you unconditionally agree to the terms herein.

1. 180-Day Evaluation Period Before Purchase

VaultDBM provisions a complimentary, full-featured 180-Day Evaluation License to every prospective customer. This evaluation period exists specifically so that prospective licensees can thoroughly test the Software, verify hardware compatibility, evaluate performance against their own database engines, test backup orchestration, and validate recovery procedures prior to making any financial commitment. Because customers have full access to evaluate the Software before purchasing, all commercial purchases are made with full pre-knowledge and acceptance of software capabilities.

2. All Sales Are Final — Strict No Refund Policy

ALL PAYMENTS, LICENSE FEES, SUBSCRIPTION CHARGES, AND MAINTENANCE PAYMENTS ARE STRICTLY NON-REFUNDABLE AND ALL SALES ARE FINAL.

Due to the digital, cryptographic nature of enterprise on-premise software and digital license keys, once an order is processed, payment settled, or a digital License Key generated/delivered, the digital fulfillment is deemed complete, irreversible, and irrevocable. Digital license credentials and offline binaries cannot be returned, repossessed, or certified as uncopied.

3. Customer Dependencies, Non-Usage & Deployment Delays

Under no circumstances shall non-usage of the Software qualify for a refund, credit, or chargeback.

The customer explicitly acknowledges and agrees that:

Whether, when, or to what extent the customer deploys, activates, or operates the Software is exclusively a customer dependency and internal operational matter outside the Licensor's control;
Delays in internal project schedules, lack of dedicated hardware/server nodes, server configuration challenges, network restrictions, or employee turnover within customer organization do not warrant any refund or credit;
Lack of internal personnel, changes in business priorities, change of mind, mergers, or corporate restructuring do not entitle the customer to any refund, compensation, or cancellation of invoices;
Incompatibility with environments, operating system versions, database distributions, or cloud storage providers that could have been tested during the 180-day evaluation period is strictly the customer's responsibility.

4. Subscriptions & Cancellation Rules

4.1 No Mid-Term Refunds. Subscription fees are charged in advance for fixed billing periods (monthly, annual, or multi-year). Subscription fees already paid or invoiced are non-refundable in whole or in part once that billing period has begun.

4.2 Subscription Cancellation. You may cancel future automatic renewals at any time via the Client Portal or by written notice to billing support. Cancellation takes effect at the end of the current pre-paid billing cycle. Your License Key and entitlement continue to run until the end of the term already paid for. No pro-rated or partial refunds are provided for early cancellation or mid-term decommissioning.

5. Perpetual Licenses & Annual Maintenance

5.1 Perpetual Licenses. Fees paid for Perpetual Licenses are strictly 100% non-refundable upon delivery of the License Key.

5.2 Annual Maintenance. Maintenance provides updates, patches, and support for a 12-month period. Maintenance fees already paid are non-refundable. Non-renewal of maintenance halts support and future updates, but does not entitle the Licensee to any retrospective or partial refund.

6. Sole Permissible Exception: Duplicate Billing Errors

The sole exception under which a refund or credit will be evaluated is a verified, proven administrative error by the payment gateway resulting in an identical duplicate transaction (where a customer was charged twice for the exact same order and invoice due to a gateway technical error). In such cases, the customer must notify billing support within seven (7) business days of the duplicate charge. Upon technical verification, the duplicate charge will be credited back via the original payment method.

7. Chargeback & Payment Dispute Prohibition

By purchasing a license, you explicitly waive any right to initiate an unmerited chargeback, payment dispute, or payment clawback with your credit card issuer, banking institution, or payment gateway. Any unauthorized chargeback or dispute initiated without prior mutual written resolution:

Constitutes an immediate material breach of the End User License Agreement;
Triggers immediate, automated revocation of all active License Keys, license certificates, and portal access;
Permits the Licensor to pursue all remedies at law, including recovery of chargeback penalty fees, bank charges, and legal expenses.

8. Governing Law & Severability

This policy is governed by and construed under the laws of India. If any portion of this policy is deemed unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.
